Ashtons advises Euston Ventures Group on Strategic Acquisition

Ashtons Legal has advised Euston Ventures Group on its acquisition of Ventilation & Environmental Supplies Ltd (VES), a well-established Dudley-based supplier to the ductwork, heating and ventilation sector.

Euston Ventures Group owns and operates a portfolio of specialist manufacturing, industrial and product distribution businesses. Built on a foundation of technical expertise, innovation and customer service, the group includes businesses operating across industrial components and processes, chemicals and lubricants, specialist equipment, and the built environment.

Founded in 1988, VES serves customers across the UK construction, building services and industrial markets. Over more than three decades, the business has built a strong reputation for technical expertise, product quality and exceptional customer service, establishing itself as a trusted supplier within the sector.

The acquisition marks the latest addition to Euston Ventures Group’s growing portfolio. Having successfully developed the business over many years, VES founders Nigel and Samantha Haywood have transferred ownership to a group with the resources and expertise to support the company’s next stage of growth.

Ashtons Legal acted for Euston Ventures Group, with a multidisciplinary team comprising Craig Fiddaman, Geoff Hazlewood, Aidan Rengert, Harry Kemp, Emily Dixon, and Greg McCurday. Bermans advised Arbuthnot, the acquisition lender.

The VES shareholders were advised by Rick Smyth and Michael Kokkinoftas of The Wilkes Partnership, with Kylie Maiton providing property advice. Simon Chapman and Niall Douglas of Burgis & Bullock Corporate Finance acted as corporate finance advisers to the shareholders.
